Regulations for using the online shopping platform Rombor Ltd. o.o.
The owner of this online sales platform, hereinafter referred to as the PLATFORM, is Rombor Sp. z o.o. with its registered office in Częstochowa, at 8 Rzeźnicka Street, entered in the register of entrepreneurs maintained by the District Court in Częstochowa, under the number KRS 000089137; NIP number: 5732442125; REGON number: 154583243, with a share capital of 1,360,000.00 PLN.
Client registration
1. The platform is intended for placing orders for available goods by business clients (entrepreneurs) and retail clients (individuals), hereinafter referred to as Clients.
2. The platform operates at the following address: https://b2b.rombor.com.pl/, with Rombor Sp. z o.o. is entitled to unilaterally change this address, which does not constitute a change to these regulations.
Rombor Ltd. o.o. will inform the Client about the change of the platform address.
3. The platform is an essential tool for the Client when making purchases of goods from Rombor Sp. z o.o.
The client may be deprived by Rombor Sp. from o.o. rights to use the platform, particularly due to the Client's delay in payment to Rombor Sp. o.o.. On the day of placing the order, the Client should have settled all required payments to Rombor Sp. o.o..
In the case of delayed payment, the delivery of products may be suspended until the payment is settled.
4. In order to use the platform, the Client is required to register on the platform and provide the necessary registration data. The Client has access to their data and the ability to change and update it by contacting the sales department.
The client consents to the processing of their personal data provided during the registration process and when placing an order in accordance with the Personal Data Protection Act of May 10, 2018, and in accordance with the Regulation of the European Parliament and of the Council (EU) 2016/679 of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (Official Journal of the European Union L 119 from). 04.05.2016, p. 1), hereinafter referred to as "Regulation 2016/679" and on the use of the store's search module for analytical, statistical, and marketing purposes.
Orders
1. Orders are accepted via the Internet. To place an order, you need to complete the ordering process in the cart. After placing the order, the Customer will receive an email confirming that the order has reached the staff of the sales department of the B2B platform.
2. The order is processed when a confirmation email of the placed order is received by the sales department from the Client.
3. The order fulfillment time is as follows:
- in the case of "cash on delivery" payment - on the next business day after receiving confirmation of the order placed by 2:00 PM
- in the case of payment by bank transfer (prepayment) - the next business day after the registered receipt of the due amount in the store's account.
- in the case of payment by bank transfer (deferred payment term) - on the next business day after receiving confirmation of the order placed by 2:00 PM.
- Delivery times are extended by one business day for orders placed after 2:00 PM.
- In the case of orders for goods that are out of stock, the CLIENT will be informed via email by the sales representative about the deadline and the possibility of fulfilling the order.
4. Once the order is completed, the goods will be sent to the Buyer. The expected delivery time is 24 hours on working days.
5. The time for receiving the shipment consists of: the order processing time by Rombor Sp. o.o. (completing the goods, payment method, issuing the sales document, packing, and dispatching the shipment) and the delivery time depends on the delivery method chosen by the Customer. Along with the products, the Customer receives documents related to the products and a VAT invoice. In the event of missing any of these documents, the Customer is obliged to report this circumstance upon receipt of the goods on the waybill and in writing (via email) to Rombor Sp. o.o. to properly complete the documents. In the event that the goods ordered by the Customer are not currently available, the Customer will receive appropriate information regarding this in the summary of the submitted order.
6. Orders will be processed in the order they are received. Orders placed on holidays, days off, and after 2:00 PM on a given day will be processed according to the order of submission on the first working day after those days.
7. In case of any doubts, the Client is obliged to contact Rombor Sp. via email before choosing the product. o.o. - The sales department, in order to obtain appropriate explanations. Formulating inquiries in writing is necessary for unambiguous clarification of technical and commercial doubts. Furthermore, the Client has the option to contact their sales representative by phone at any time, and if necessary, their supervisor.
8. In the event of unavailability of some items covered by the order, the Customer is immediately informed about it in the order basket. The Customer decides whether the order should be fulfilled partially or completely canceled.
9. Rombor Ltd. o.o. reserves the right to fulfill orders under different conditions than those specified in these regulations, particularly concerning non-standard orders such as orders for a larger quantity of products or products of higher value. In this case, orders will be fulfilled on terms individually agreed upon with the customer. A larger quantity or value is defined as a size that exceeds the average order level of the customer by twice.
Pricing policy
1. A limited number of goods are designated for promotional sales and clearance sales. Orders are fulfilled in the order they are received, based on confirmed orders, until the stock available for such a form of sale is exhausted.
2. All prices on the platform are expressed in Polish zlotys (PLN) and are net values. The price listed next to the product should be the same as in the current Rombor catalog, unless the item is subject to a promotion (in which case there will be a clear indication of the promotional price next to the product). In case of any doubts, the Customer is required to contact Rombor Sp. via email before selecting the goods. o.o. - The sales department, in order to obtain appropriate explanations. Formulating inquiries in writing is necessary to clarify technical and commercial doubts.
3. For products purchased through the platform, the Client is entitled to the same discount as with the previous forms of purchase (email and fax orders). In the case of placing and processing an order through the Platform, the Client is entitled to an additional discount of 2% off the product price obtained after the Client's discount. The duration of the discount and its amount may be unilaterally changed by Rombor Sp. z o.o.
Payments
1. For the ordered goods, the Customer can make a payment by choosing one of the following payment methods:
- upon delivery: the courier collects the payment,
- by bank transfer to the store's account.
2. If the value of the Customer's order exceeds the amount granted to them by Rombor Sp. o.o. In the case of exceeding the credit limit, the Client is obliged to make a prepayment for the ordered products by bank transfer in the amount that exceeds the granted credit limit.
Additional shipping costs
DHL shipping - the additional charge for sending a package with a marked "FRAGILE!!!" sticker is 29.00 PLN net.
Sales agreement
1. At the moment the Customer confirms the order they have sent, a contract is concluded between the SELLER and the BUYER. The subject of the contract is the goods specified in the order.
The rights and obligations of the parties arising from the concluded contract are regulated by the Act of April 23, 1964, the Civil Code (Journal of Laws of 1964, No. 16, item 93 with subsequent amendments) and the Act of March 2, 2000, on the protection of certain consumer rights and on liability for damage caused by a hazardous product (Journal of Laws of 2000, No. 22, item 271 with subsequent amendments).
The sales contract for goods is concluded in accordance with Polish law and in the Polish language.
3. In the case of a sales contract concluded by a natural person or a natural person running a sole proprietorship, when the content of this contract indicates that it does not have a professional character for them, resulting in particular from the subject of the economic activity they perform, made available under the regulations of the Central Register and Information on Business Activity, the consumer protection regulations apply, including the right to withdraw from the contract within 14 days from the date of its conclusion.

General provisions resulting from the regulations.
1. Rombor Ltd. o.o. is not liable to the Client or other entities for any inability to use the platform, and in particular for interruptions caused by technical reasons (maintenance, inspection, equipment replacement, etc.) or other circumstances.
2. In connection with the cooperation agreement with Rombor Sp. o.o. and by this regulation, the Client is obliged not to disclose any trade secrets of Rombor Sp. o.o. (trade secret), which includes in particular all non-public information and data regardless of their form obtained by the Client from Rombor Sp. z o.o.; This particularly concerns: individually established terms of cooperation, individual prices, stock levels, passwords, logins, and all data related to the operating principles and access to the platform.
3. These Terms and Conditions come into effect upon acceptance by the Client and are in force for an indefinite period. These Terms and Conditions are available on the platform's website at the address https://b2b.rombor.com.pl/.
4. Rombor Ltd. o.o. has the right to change these regulations, particularly regarding the availability and conditions of use of the platform. Changes to the regulations may occur by posting a new version of the regulations or amendments to the regulations on the platform's website and highlighting information about the changes made.
5. By accepting these terms and conditions, the Customer agrees to comply with them. Placing an order through the platform is equivalent to accepting the current terms and conditions.

7. All copyright rights to descriptions, photos, and any other materials placed on the platform are reserved and belong exclusively to Rombor Sp. o.o..
Any copying, processing, or use of these materials in whole or in part is prohibited and requires prior written consent from Rombor Sp. o.o. expressed under the penalty of nullity.
Controversial issues
1. The court competent to hear disputes arising from the sales agreement is the court competent for the seller's registered office: Rombor Sp. z o.o. with its registered office in Częstochowa.
2. In matters not regulated by these regulations, the provisions of the Civil Code shall apply.
